Syndication involves two or more investors coming together to make an investment that neither investor could make, or would make on their own.
The Howey Test is a four-pronged test courts apply to determine whether or not an investment constitutes a security. Securities must be sold either be sold through a broker dealer or you (read, your lawyer) must file for the appropriate exemption from registration.
